Structure matters and so does how it is administered

Acquiring and holding a superyacht involves considerably more than the purchase itself. Ownership structure, flag state, VAT position, financing, crew employment and charter arrangements all interact and decisions made at the outset can be difficult and costly to unwind later. 

Fiduchi structures and administers yacht ownership vehicles in Jersey, the Cayman Islands and the Isle of Man. We work closely with the client’s legal, tax and maritime advisers to ensure that the holding arrangement reflects the advice given and operates as intended from day one.

Why use an ownership structure?

A superyacht held personally, without an appropriate ownership vehicle, can create unnecessary complexity around liability, financing, charter activity and longer-term succession. A properly established structure separates the yacht’s operational and financial affairs from the beneficial owner’s personal arrangements, and provides a framework that lenders, insurers, flag state authorities and other counterparties can engage with confidently. 

The right structure is not the most complex one. It is the one that fits the intended use of the vessel, the owner’s broader circumstances and the jurisdictions involved, one that can be administered cleanly over time without becoming a burden in itself.

Entity Formation and Administration

We assist with the formation and ongoing administration of the relevant holding entity, whether that is a company, trust, foundation, limited liability partnership, incorporated cell company or protected cell company. We maintain corporate records, manage statutory filings, support bookkeeping and coordinate with the client’s advisers throughout. 

Governance and Information Management

Superyacht ownership involves a significant volume of sensitive information, from beneficial ownership details, financing documentation, and crew records to insurance arrangements and operational data. Managing this carefully is not simply a compliance exercise; it is central to protecting the owner’s privacy and ensuring the structure continues to operate smoothly. 

Fiduchi maintains appropriate records, manages information responsibly and ensures that disclosure to third parties, flag state authorities, registry contacts, lenders and insurers is handled accurately and only where required. We bring particular care to this area.

Coordination with the Advisory team

We do not provide legal or tax advice. We work alongside the advisers who do. Our role is to translate advice into well-implemented, consistently maintained administration and to flag promptly when something in the structure’s operation needs revisiting. 

Jurisdictions

Each of our principal jurisdictions offers a well-regarded legal and regulatory framework for yacht ownership structures: 

  • Jersey — our primary base, with deep experience in yacht and superyacht administration and a responsive regulatory environment,

  • Cayman Islands — widely used for international ownership structures, particularly where US-connected parties or financing arrangements are involved,

  • Isle of Man — an established maritime jurisdiction with its own ship registry and strong links to the UK legal framework.
