Fiduchi provides the formation and ongoing administration of entities used in connection with yacht financing, in jurisdictions that are familiar to international lenders and their advisers. We support lender due diligence, assist with security documentation requirements and maintain the governance framework that lenders expect to see in place and consistently maintained throughout the life of the facility.

Entity Formation
We assist with the formation of holding entities such as companies, trusts, foundations, limited liability partnerships, incorporated cell companies and protected cell companies in Jersey, the Cayman Islands and the Isle of Man. Each jurisdiction offers a well-regarded legal and regulatory framework that is familiar to international lenders.
Corporate Administration for Financing Purposes
A financed acquisition requires the holding structure to be not only correctly established, but properly administered throughout the life of the facility. This means current corporate records, timely statutory filings, accurate bookkeeping and a governance framework that supports lender reporting requirements and covenant compliance.
Fiduchi provides this ongoing administration as a core part of its service, and coordinates with the client’s legal advisers and the lender’s counsel throughout the process.
Security Documentation Support
We work alongside the client’s legal advisers to support the administrative aspects of security documentation, including the maintenance of records relevant to mortgage registration, charge documentation and related filings. We do not provide legal advice on security arrangements, but we ensure that the administrative framework supports the legal work being done.
Lender Due Diligence
Lender due diligence on a yacht ownership structure typically covers the legal form and jurisdiction of the holding entity, the identity and verification of beneficial owners, the governance framework and the quality of historical records. Fiduchi’s approach to corporate administration is designed to ensure that structures we administer are well-placed to withstand this scrutiny.
