About the role:

Role Purpose

To provide a confidential Company Secretarial and administrative service to the Boards and Committees of the Group. This role ensures that our Companies comply with financial and legal requirements and maintaining high standards of corporate governance.

This role manages the meetings processes for the Boards and Committees by working with Directors and Senior Management to set the agenda, brief teams for the delivery of Board and Committee papers; and ensuring the timely publication of high-quality materials to the approved meeting channels.

Key Responsibilities

• Work with the Chairman, Board members and Senior Management to prepare and set agendas and papers for the Board, Executive Team and Committee meetings.

• Developing a close working relationship with Directors, Boards, Chairs and Committee members, and act as first point of contact for Company Secretarial support.

• Convene meetings, draft resolutions, and lodge required forms and annual returns.

• Take accurate minutes and circulate to the communication channel within SLA.

• Record actions and regularly follow up with relevant owners to track actions to completion arising from board and committee meetings.

• Ensure policies, regulatory, or statutory changes that might affect the Company are up to date and approved by the Board and relevant Committees.

• Maintaining registers, Director details and records from a regulatory, statutory and governance reporting requirements

• Preparing and filing the relevant statutory submissions

• Adhere to processes and systems to ensure good management of the Company.

• Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.

• Pay dividends to shareholders and manage share option scheme opted by various shareholders.

• Manage the key man and Company insurance policies and their annual renewal.

• Maintenance and management of authorised signatory lists.

• Management of the appointment and resignation of Directors of Group companies.

• Preparation of correspondence as required.

• Provision of training in respect of new and amended policies and procedures as required.

• Undertaking of projects as required.

Qualifications and Experience

• A CGI (Chartered Governance Institute) qualified Company Secretary with demonstrable experience working in a Company Secretary role, within the trust sector.

• Proficient digital literacy.

• Thorough understanding of the TCB Code of Practice and relevant laws that affect your areas of work.
